Terms of Service

1. Who you are contracting with

Room Radius is provided by [TO BE SUPPLIED] — registered legal company name (“Room Radius”, “we”, “us”), a company registered in [TO BE SUPPLIED] — company register, e.g. Brønnøysundregistrene / Foretaksregisteret with organisation number [TO BE SUPPLIED] — organisation number, registered address [TO BE SUPPLIED] — registered postal address. 2. Business customers only

Room Radius is offered to businesses for use in their trade or profession. It is not intended for consumers, and consumer distance-selling and cancellation rules are not designed to apply. By subscribing you confirm you are acting for a business.

3. Your authority to bind your organisation

By accepting these terms you confirm that you are authorised to enter into them on behalf of the hotel or company you represent (“you”, “the customer”), and that its use of the service is bound by them.

4. What the service does

Room Radius finds organisations near your hotel from public and third-party sources, helps you identify who to contact, and provides tools to run and track outreach from your own connected mailbox. It reports what its sources said. In supported markets it also checks official company-register data; Norway is currently supported, with additional markets planned.

5. What the service does not promise

Room Radius does not guarantee that any company has demand, or that a lead, contact detail or other information is accurate, complete or current — it reflects sources that change and that we do not control. We do not guarantee any particular revenue, bookings or other results. Nothing in the product is business, legal or tax advice.

6. Availability

We aim to keep the service available but do not commit to any specific uptime or service level unless a separate written service level agreement has been purchased. The service depends on third parties, including company registers, Google and OpenStreetMap, and may be interrupted for maintenance or for reasons outside our control.

7. Subscriptions, price and VAT

The subscription is EUR 45 per month, or EUR 450 per year. Prices are [TO BE SUPPLIED] — whether listed prices include or exclude VAT. Setting up an account and running an initial scan is free; paid features require an active subscription.

8. Billing, renewal and cancellation

Subscriptions are billed in advance through our payment processor and renew automatically — monthly plans each month, annual plans each year — until cancelled. You may cancel at any time; cancellation takes effect at the end of the current paid period, and you keep access until then. We do not provide pro-rata refunds for the unused part of a period except where required by law. Any free trial or free scan is provided as-is and may be changed or withdrawn.

9. Payment failure and suspension

If a payment fails, we may retry it and may suspend access to paid features until payment succeeds. Persistent non-payment may lead to termination under section 18.

10. Acceptable use and anti-spam

You agree not to use Room Radius to:

• send unlawful, deceptive, harassing or bulk unsolicited messages, or otherwise breach the electronic-marketing or anti-spam rules that apply to a recipient or market;
• upload, import or use contact information you obtained unlawfully, or that you are not permitted to process for outreach;
• circumvent suppression, unsubscribe handling, sending limits or other safeguards, or misrepresent the sender of a message;
• probe, overload or interfere with the service, or resell or expose third-party data in breach of its licence.

You are the sender. You are responsible for the content of your outreach, for having an appropriate legal basis, and for complying with the marketing and privacy rules that apply to each recipient and market. Using the service does not by itself make a campaign lawful — see our compliance information.

11. Our safeguards

Room Radius provides tools to help you send responsibly, including suppression checks before sending, unsubscribe handling, sending limits and audit records of what was sent. These are tools; they do not transfer to us your responsibility for lawful use, and we may suspend or terminate accounts that use the service abusively or for spam.

12. Third-party data and services

The service uses third-party data and services, including official company registers, Google, OpenStreetMap and, where enabled and contractually permitted, licensed contact-data providers. Their data is subject to their own terms and licences, is provided without warranty by us, and may be attributed or restricted as those terms require. Where a source is shown on a record, that is the source we relied on.

13. Intellectual property

We and our licensors own the service, its software and all related intellectual property. We grant you a non-exclusive, non-transferable right to use the service during your subscription for your own business purposes, subject to these terms.

14. Your data

You retain all rights in the data you enter or import (“customer data”). You grant us a licence to host, process and transmit customer data as needed to provide the service. Where customer data includes personal data, that processing is governed by our Data Processing Agreement, which forms part of these terms.

15. Confidentiality

Each party may receive confidential information of the other. Each will use it only to perform under these terms and will protect it with reasonable care, except where disclosure is required by law.

16. Data protection

Our handling of personal data is described in our Privacy Policy and, for personal data we process on your behalf, our Data Processing Agreement. Our current subprocessors are listed at subprocessors.

17. Term

These terms apply for as long as you have an account or an active subscription.

18. Termination

You may terminate by cancelling your subscription and closing your account. We may suspend or terminate your access if you materially breach these terms (including sections 10–11), fail to pay, or use the service unlawfully. On termination your right to use the service ends.

19. Export and deletion on termination

Around termination you may request an export of your customer data. After termination we delete or return customer data in line with our Privacy Policy and the DPA, except where we must keep certain records (such as billing records) to meet legal obligations.

20. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, bookings, goodwill or data. Our total liability arising out of or relating to the service in any twelve-month period is limited to the amounts you paid us for the service in that period.

Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, fraud, or wilful misconduct.

21. Indemnification

You will indemnify us against third-party claims arising from your outreach content, your use of the service in breach of these terms, or your unlawful processing of contact information.

22. Governing law and jurisdiction

These terms are governed by the laws of Norway, and the parties submit to the exclusive jurisdiction of [TO BE SUPPLIED] — competent courts, e.g. the courts of Oslo, Norway.

23. Changes to these terms

We may update these terms. If a change materially affects your rights or obligations, we will give notice — for account holders, by email — before it takes effect. Continued use after a change takes effect is acceptance of the updated terms.

24. Notices

We give notices to the email on your account; you give notices to legal@roomradius.io.

25. Assignment

You may not assign these terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.

26. Severability

If any provision is unenforceable, the rest remains in effect and the provision is applied to the maximum extent permitted.

27. Entire agreement

These terms, together with the Privacy Policy and DPA, are the entire agreement between us about the service and replace any prior understanding on the subject.
